General Terms and Conditions of Shaper Tools GmbH
1 Applicability
1.1 These General Terms and Conditions ("T&Cs") regulate the sale of goods from Shaper Tools GmbH, Dieselstrasse 26, 70771 Leinfelden-Echterdingen, Germany ("Shaper Tools") via the online shop on the website https://www.shapertools.com with respect to consumers and entrepreneurs ("Customers"). Shaper Tools do not accept any contrary conditions or Customer conditions that differ from these T&Cs, unless Shaper Tools has expressly agreed to the validity thereof in writing. Shaper Tools only concludes contracts in German and English.
1.2 A consumer within the meaning of the T&Cs ("Consumer") is any natural person who does not act for the purposes of their commercial or independent professional occupation when concluding the purchase of the goods (Section 13 German Civil Code). An entrepreneur within the meaning of the T&Cs ("Entrepreneur") is any natural or legal person or incorporated partnership that purchases the goods as part of their commercial or independent professional occupation (Section 14 German Civil Code).
2 Ordering process, conclusion of the contract
2.1 The Customer's contractual partner is Shaper Tools. The web pages in the Shaper Tools' online shop only represent a sales prospectus ("Online Catalogue Page"). The product display in the online shop only includes a request to submit an offer (order). The Customer submits a binding offer by clicking on the "Buy now" button to order the goods in the online shop ("Offer").
2.2 Before clicking on the "Buy now" button to submit the order, the Customer can check all of the contents of the order form in the order process and they can click on the respective button (e.g. "Edit" or "Change") to change, delete or cancel the entire order process.
2.3 Shaper Tools confirms receipt of the order by e-mail. This e-mail also contains the T&Cs and information about the right of cancellation. This does not yet constitute a sales contract.
2.4 The sales contract shall only come into effect once Shaper Tools explicitly accepts the offer ("Acceptance"), e.g. by e-mail, but no later than the time the goods are dispatched. The Customer shall be sent a separate e-mail informing them that their goods have been dispatched.
2.5 Shaper Tools shall not accept any offers from Customers who are below the age of 18. If the Customer is below the age of 18, they must only place orders in the online shop together with their parent or legal guardian.
3 Prices and terms and conditions of payment
3.1 The prices of Shaper Tools are understood to be ex stock including packaging costs plus the statutory sales tax that is applicable at the time of the order and any shipping costs.
3.2 The shipping costs are displayed during the order process.
3.3 The accepted method of payment is credit card, PayPal, Sofort (instant bank transfer), Advance Payment and this is specified during the order process.
3.4 In the event of a negative credit assessment, Shaper Tools reserves the right to only further process the order using the payment methods suggested by us. The customer shall be informed about this decision immediately.
4 Shipping and terms and conditions of supply
4.1 Orders shall only be shipped to addresses in Austria, Belgium, Bulgaria, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Greece, Germany, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, Netherlands, Norway, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, Sweden, Switzerland, and the United Kingdom. Any shipping costs that are to be borne by the Customer shall be specified in the order form. To United Kingdom, Switzerland and Norway we deliver DAP (Delivered at place). Customs duties and import sales tax are paid by the customer.
4.2 The goods shall be delivered within the delivery time specified in the order process but no later than within 90 days of receipt of the order confirmation.
4.3 If the delivery is temporarily delayed due to force majeure or any other events that were unforeseeable at the time the contract was concluded (operational disruptions of any kind, even where these occur at third parties commissioned by Shaper Tools or at their contractors; material bottlenecks, etc.), the delivery time shall be extended accordingly. If such events lead to a delivery delay of more than four (4) months, the Customer shall be entitled to withdraw from the contract. Other rights to withdraw for the Customer shall remain unaffected by this.
5 Retention of ownership
5.1 The delivered goods shall remain the property of Shaper Tools up until full payment has been received. If the Customer is an Entrepreneur, Shaper Tools shall retain ownership of the purchased item up until full settlement of all claims against the Customer.
5.2 For the Entrepreneur to resell the goods, the following shall apply: The Customer shall be entitled to resell the goods in the ordinary course of business. However, they shall now already assign to Shaper Tools all claims towards their customers or third parties or in conjunction with the resale up to the total final amount (incl. value added tax) of the receivables from Shaper Tools. They must inform the affected customers and third parties of this assignment immediately. Even after the assignment, the Customer shall remain entitled to collect the assigned claims. The right of Shaper Tools to collect these claims themselves shall remain unaffected by this. Shaper Tools undertakes to not exercise this right provided that the Customer meets their payment obligations from the collected proceeds, there are no payment arrears and, in particular, the customer is not insolvent and does not stop their payments. For such cases, the Customer undertakes to inform Shaper Tools about the assigned receivables and debtors involved, provide all of the details required for collections, and hand over relevant documents.
5.3 Upon request from the customer, Shaper Tools undertakes to release the securities to which they are entitled insofar as their realisable value exceeds the secured receivables by more than 10%. The selection of the securities to be released shall be the responsibility of Shaper Tools.
6 Withdrawal
6.1 If the Customer is an Entrepreneur, Shaper Tools shall be entitled to withdraw from the contract insofar as Shaper Tools does not receive delivery despite the existence of a sales contract regarding the contractual item. Shaper Tools shall inform the Customer immediately about the missing delivery and, in the case of withdrawal, shall immediately compensate for any service already received.
6.2 Other, in particular statutory, rights to withdraw shall remain unaffected.
7 Right of cancellation for Consumers
7.1 If the Customer is a Consumer, they have a right of cancellation according to the following conditions:

You have the right to cancel this contract within thirty days without stating a reason.
The cancellation period shall be thirty days from the day on which you or a third party nominated by you who is not the carrier takes possession of the goods.
In order to exercise your right to cancel, you must send us (Shaper Tools GmbH, Dieselstrasse 26, 70771 Leinfelden-Echterdingen, Germany, +49 (0) 711 26898124, hello@shapertools.com) a clear statement (e.g. a letter sent by post, a fax or an e-mail) to inform us of your decision to withdraw from this agreement.
You can use the attached sample cancellation form, but it is not mandatory.
To adhere to the cancellation period, it is sufficient to send us the notification that you are exercising your right of cancellation before the cancellation period expires.
Consequences of cancellation
If you cancel this contract, we will be required to reimburse you all payments which we have received from you, including delivery costs (with the exception of additional costs arising from a decision on your part to use a different delivery method from the cheapest standard delivery we offer), without delay and no later than within thirty days of the day on which we received the notification of your cancellation of this contract.
For the reimbursement, we shall use the same payment method that you used for the original transaction, unless we have expressly agreed an alternative method with you; under no circumstances will you be charged any fees on the grounds of this reimbursement.
We can refuse the reimbursement until the goods have been returned to us or until you have provided evidence that you have sent the goods back, depending on whichever is the earliest date.
You must send back or hand over the goods to Shaper Tools GmbH, Webshop, c/o Gebrüder Schuon Logistik GmbH, Metnitzerstrasse 50, 72221 Haiterbach, Germany immediately and, in any case, no later than thirty days from the day on which you informed us that you were withdrawing from this contract. The notice period shall be deemed to be complied with if you send the goods before the period of thirty days expires.
We shall bear the costs of returning the goods.
You are only required to pay for any possible loss in value of the goods if this loss in value is due to handling the goods in a way that is not necessary to verify their condition, properties or correct functioning.

8 Voluntary right of return
8.1 Beyond the statutory notice period of 14 days, Shaper Tools shall grant the customer a voluntary contractual right to return of 30 days in total from the day on which the customer, or a third party named by the customer, takes possession of the goods. With this right of return, the customer can withdraw from the contract even after the statutory withdrawal period of 14 days has elapsed. They can do so by sending back the goods within 30 days of taking possession of them

Sending the goods in good time shall be sufficient to be within the deadline. The prerequisite for exercising the voluntary right of return is that the goods must be sent back in their original packaging, complete and without any damage caused by the customer.
8.2 The customer shall only be required to pay for any possible loss in value of the goods if this loss in value is due to handling the goods in a way that is not necessary to verify their condition, properties or correct functioning.
8.3 Shaper Tools shall bear the costs of returning the goods. The customer can request a returns label for returning the goods. For the reimbursement after the right of return is exercised, Shaper Tools shall use the same payment method that the customer used for the original transaction, unless they have expressly agreed an alternative method with the customer. The customer shall not be charged any fees on the grounds of this reimbursement.
8.4 Up until the end of the notice period for the statutory right of withdrawal, only the conditions listed above shall apply with regard to the right to cancellation. The customer's statutory right to withdraw and the statutory warranty rights shall not be affected by the contractual right of return that is granted.
9 Warranty
9.1 In the case of defects in the supplied goods, the Customer shall be entitled to the statutory warranty rights, subject to the following items. Warranties in the legal sense require express agreement. The Customer can demand compensation due to a defect only in accordance with Item 10.
9.2 In the commercial dealings with Entrepreneurs, Section 377 German Commercial Code shall apply. Shaper Tools shall then also be entitled, at their discretion and within a reasonable period, to repair the goods or deliver new goods. This shall not apply if the Customer provides evidence, as an exception, that a repair is unreasonable.
9.3 If the Customer modifies the goods or has them modified by a third party without consent from Shaper Tools and insofar as this makes it difficult or impossible to rectify the defect, the Customer must bear the additional costs that arise from this modification.
9.4 If the Customer is an Entrepreneur, the notice period for the assertion of warranty claims shall be one year from the date of delivery, unless Shaper Tools has fraudulently kept the defect secret or there is a case of entrepreneur recourse as outlined in Section 478 German Civil Code.
10 Liability
10.1 In the case of minor negligence, Shaper Tools shall only be liable for the breach of an essential contractual obligation. An essential contractual obligation in this sense is an obligation, only the fulfilment of which makes possible at all the attainment of the purpose pursued in concluding the agreement and on the fulfilment of which the Customer may therefore regularly rely.
10.2 In the case of minor negligence, the liability of Shaper Tools shall be limited to damage foreseeable at the time of conclusion of the contract and typical for the contract.
10.3 The aforementioned exclusions and limitations of liability shall not apply for liability in the case of loss of life, limb or health, where a defect has been fraudulently kept secret, where a warranty has been accepted, and for claims in accordance with the Product Liability Act.
10.4 Where the liability of Shaper Tools is excluded or limited, this shall also apply to the personal liability of employees, representatives and subcontractors of Shaper Tools.
11 Copyright and trademark right
The entire contents of the website, in particular texts, graphics, photos, illustrations and software, are the property of Shaper Tools and/or Shaper Inc. This content is protected by copyright and other industrial property rights. Any reproduction, editing, storage or other processing is not permitted. All of the brands used on the website are – unless specified otherwise – the property of Shaper Tools and/or Shaper Inc. Any use or exploitation of the brands in any form without consent from Shaper Tools is prohibited.
12 Data protection
The protection of the Customer's personal data that is provided to Shaper Tools as part of the business relationship in the online shop is extremely important to Shaper Tools. Shaper Tools shall process the data only in accordance with the data protection regulations.
13 Damage during transport
If goods are delivered with visible transport damage, an immediate complaint to the delivery agent and contact with Shaper Tools would be extremely helpful. This helps Shaper Tools to assert their own claims against the carrier or the transport insurance. If the Customer is a Consumer, not notifying Shaper Tools of this shall have no legal consequences for the Customer. If the Customer is an Entrepreneur, the regulation under Section 377 German Commercial Code continues to apply.
14 Online dispute resolution
The European Commission provides a platform for online dispute resolution (ODR) at http://ec.europa.eu/consumers/odr/. Consumers can use this platform to resolve their disputes. However, we are neither willing nor obliged to participate in dispute resolution proceedings arbitrated by a consumer arbitration board.
15 Miscellaneous
15.1 The contract is subject to German law with the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG), unless country-specific statutory regulations are more favourable for the Customer.
15.2 If the Customer is an Entrepreneur or a legal person governed by public law, the legal venue for any disputes that arise from this contract shall be the registered office of Shaper Tools; However, Shaper Tools shall also be entitled to bring action against the Customer at the Customer's registered office. The same applies if the Customer has no general place of jurisdiction in Germany or if, following conclusion of the contract, the Customer relocates their place of residence or permanent address abroad, or if the Customer's place of residence or permanent address is not known at the time the complaint is filed.
15.3. If the Customer is an Entrepreneur, the place of performance shall be Shaper Tools GmbH, Dieselstrasse 26, 70771 Leinfelden-Echterdingen, Germany.

Allgemeine Geschäftsbedingungen der Shaper Tools GmbH
1 Anwendbarkeit
1.1 Diese Allgemeinen Geschäftsbedingungen („AGB“) regeln den Verkauf von Waren der Shaper Tools GmbH, Dieselstraße 26, 70771 Leinfelden-Echterdingen, Deutschland („Shaper Tools“) über den Onlineshop der Webseite https://www.shapertools.com gegenüber Verbrauchern und Unternehmern („Kunden“). Entgegenstehende oder von diesen AGB abweichende Bedingungen der Kunden erkennt Shaper Tools nicht an, es sei denn, Shaper Tools hat ihrer Geltung ausdrücklich schriftlich zugestimmt. Shaper Tools schließt Verträge ausschließlich in deutscher und englischer Sprache ab
1.2 Verbraucher im Sinne der AGB („Verbraucher“) ist jede natürliche Person, die den Kauf der Waren nicht zum Zwecke ihrer gewerblichen oder selbständigen beruflichen Tätigkeit abschließt (§ 13 BGB). Unternehmer im Sinne der AGB („Unternehmer“) ist jede natürliche oder juristische Person oder rechtsfähige Personengesellschaft, die beim Kauf der Waren in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit handelt (§ 14 BGB).
2 Bestellablauf, Vertragsschluss
2.1 Der Vertragspartner des Kunden ist Shaper Tools. Die Internetseiten im Onlineshop von Shaper Tools stellen nur ein Verkaufsprospekt („Online Katalogseite“) dar. In der Darstellung der Produkte im Onlineshop liegt lediglich eine Aufforderung ein Angebot (Bestellung) abzugeben Der Kunde gibt ein bindendes Angebot ab, indem er die Ware im Onlineshop durch Anklicken des Buttons „Jetzt kaufen“ bestellt („Angebot“).
2.2 Vor Absendung der Bestellung durch Anklicken des Buttons „Jetzt kaufen“ kann der Kunde im Bestellvorgang sämtliche Inhalte der Bestellmaske überprüfen und durch Anklicken des entsprechenden Buttons (z.B. „bearbeiten“ oder „ändern“) ändern, löschen oder den gesamten Bestellvorgang abbrechen.
2.3. Shaper Tools bestätigt den Bestelleingang per E-Mail. Diese E-Mail enthält auch die AGB und Informationen zum Widerrufsrecht. Ein Kaufvertrag kommt hiermit noch nicht zustande.
2.4. Der Kaufvertrag kommt erst zustande, indem Shaper Tools das Angebot ausdrücklich annimmt („Annahme“), z. B. per E-Mail, spätestens jedoch mit Versand der Ware. Über den Versand der Ware wird der Kunde mit gesonderter E-Mail informiert.
2.5. Shaper Tools nimmt keine Bestellungen von Kunden an, die das 18. Lebensjahr noch nicht vollendet haben. Wenn der Kunde das 18. Lebensjahr noch nicht vollendet haben, darf dieser im Onlineshop nur zusammen mit seinen Eltern oder einem erziehungsberechtigten Erwachsenen bestellen.
3 Preise und Zahlungsbedingungen
3.1 Preise von Shaper Tools verstehen sich ab Lager inklusive Verpackungskosten sowie zuzüglich der im Zeitpunkt der Bestellung jeweils gültigen gesetzlichen Umsatzsteuer und Versandkosten.
3.2 Die Versandkosten werden im Rahmen des Bestellprozesses angezeigt.
3.3 Die akzeptierten Zahlungsmittel sind Kreditkarte, PayPal, Sofortüberweisung, Vorauskasse und werden im Rahmen des Bestellvorgangs angegeben.
3.4 Die Shaper Tools behält sich für den Fall der negativen Bonitätsprüfung das Recht vor, die Bestellung nur zu den von uns vorgeschlagenen Zahlungsarten weiterzubearbeiten. Über diese Entscheidung wird der Kunde unverzüglich informiert.
4 Versand und Lieferbedingungen
4.1 Der Versand erfolgt nur an Adressen in Österreich, Belgien, Bulgarien, Kroatien, Zypern, Tschechien, Dänemark, Estland, Finnland, Frankreich, Griechenland, Deutschland, Ungarn, Irland, Italien, Lettland, Litauen, Luxemburg, Malta, Niederlande, Norwegen, Polen, Portugal, Rumänien, Slowakei, Slowenien, Spanien, Schweden, Schweiz und Großbritannien sowie Irland. Etwaige vom Kunden zu tragenden Versandkosten werden in der Bestellmaske angegeben. In die Schweiz, das Vereinigte Königreich und nach Norwegen liefern wir DAP (Delivered at place). Zölle und Einfuhrumsatzsteuer bezahlt der Kunde.
4.2 Die Lieferung erfolgt im Rahmen der im Bestellvorgang angegebenen Lieferzeit, jedoch spätestens innerhalb von 90 Tagen nach Eingang der Auftragsbestätigung.
4.3 Verzögert sich die Lieferung vorübergehend durch höhere Gewalt oder sonstige zum Zeitpunkt des Vertragsschlusses unvorhersehbare Ereignisse (Betriebsstörungen aller Art, auch wenn diese bei von Shaper Tools beauftragten Dritten oder bei deren Auftragnehmern eintreten; Materialengpässe, etc.), verlängert sich die Lieferfrist entsprechend. Führen solche Ereignisse zu einem Lieferaufschub von mehr als vier (4) Monaten, so ist der Kunde berechtigt, vom Vertrag zurückzutreten. Sonstige Rücktrittsrechte des Kunden bleiben hiervon unberührt.
5 Eigentumsvorbehalt
5.1 Die gelieferte Ware bleibt bis zur vollständigen Bezahlung im Eigentum der Shaper Tools. Ist der Kunde Unternehmer, behält Shaper Tools sich das Eigentum an der Kaufsache bis zur vollständigen Begleichung sämtlicher Forderungen gegen den Kunden vor.
5.2 Für den Weiterverkauf der Waren durch Unternehmer gilt Folgendes: Der Kunde ist berechtigt, die Waren im ordentlichen Geschäftsgang weiter zu verkaufen. Er tritt jedoch bereits jetzt alle Forderungen gegenüber seinen Kunden oder Dritten aus oder in Zusammenhang mit der Weiterveräußerung bis zur Höhe des gesamten Endbetrages (inkl. Umsatzsteuer) der Forderungen von Shaper Tools an Shaper Tools ab. Er hat die betroffenen Kunden und Dritten von der Abtretung unverzüglich zu unterrichten. Der Kunde bleibt auch nach der Abtretung berechtigt, die abgetretenen Forderungen einzuziehen. Das Recht von Shaper Tools, diese Forderungen selbst einzutreiben, bleibt davon unberührt. Shaper Tools verpflichtet sich, dieses Recht nicht auszuüben, solange der Kunde seinen Zahlungsverpflichtungen aus den beigetriebenen Erlösen nachkommt, keine Zahlungsrückstände auftreten und insbesondere keine Insolvenz des Kunden eintritt und er seine Zahlungen nicht einstellt. Der Kunde verpflichtet sich für derartige Fälle, Shaper Tools die abgetretenen Forderungen und betreffenden Schuldner mitzuteilen, sämtliche für Eintreibungen erforderlichen Einzelheiten zu beschaffen und sachdienliche Unterlagen auszuhändigen.
5.3 Shaper Tools verpflichtet sich, die ihr zustehenden Sicherheiten auf Verlangen des Kunden insofern freizugeben, als deren realisierbarer Wert die zu sichernden Forderungen um mehr als 10% übersteigt. Die Wahl der freizugebenden Sicherheiten bleibt Shaper Tools vorbehalten.
6 Rücktritt
6.1 Ist der Kunde Unternehmer, ist Shaper Tools berechtigt vom Vertrag zurückzutreten, soweit Shaper Tools trotz eines bestehenden Kaufvertrages über den Leistungsgegenstand selbst nicht beliefert wird. Shaper Tools wird den Kunden über die ausgebliebene Selbstbelieferung unverzüglich informieren und im Falle des Rücktritts eine bereits erhaltene Gegenleistung unverzüglich erstatten.
6.2 Sonstige, insbesondere gesetzliche, Rücktrittsrechte bleiben unberührt.
7 Widerrufsrecht für Verbraucher
Ist der Käufer Verbraucher, steht ihm ein Widerrufsrecht nach folgender Maßgabe zu:

Sie haben das Recht, binnen vierzehn Tagen ohne Angabe von Gründen diesen Vertrag zu widerrufen.
Die Widerrufsfrist beträgt vierzehn Tage ab dem Tag an dem Sie oder ein von Ihnen benannter Dritter, der nicht Beförderer ist, die Waren in Besitz genommen haben bzw. hat.
Im Falle eines Vertrages über mehrere Waren, die Sie im Rahmen einer einheitlichen Bestellung bestellt haben und die getrennt geliefert werden, beginnt die Widerrufsfrist ab dem Tag, an dem Sie oder ein von Ihnen benannter Dritter, der nicht Beförderer ist, die letzte Ware in Besitz genommen haben bzw. hat.
Um Ihr Widerrufsrecht auszuüben, müssen Sie uns (Shaper Tools, Shaper Tools GmbH, Dieselstraße 26, 70771 Leinfelden-Echterdingen, Deutschland, +49 (0) 711 26898124, hello@shapertools.com) mittels einer eindeutigen Erklärung (z.B. ein mit der Post versandter Brief, Telefax oder E-Mail) über Ihren Entschluss, diesen Vertrag zu widerrufen, informieren.
Sie können dafür das beigefügte Muster-Widerrufsformular verwenden, das jedoch nicht vorgeschrieben ist.
Zur Wahrung der Widerrufsfrist reicht es aus, dass Sie die Mitteilung über die Ausübung des Widerrufsrechts vor Ablauf der Widerrufsfrist absenden.
Folgen des Widerrufs
Wenn Sie diesen Vertrag widerrufen, haben wir Ihnen alle Zahlungen, die wir von Ihnen erhalten haben, einschließlich der Lieferkosten (mit Ausnahme der zusätzlichen Kosten, die sich daraus ergeben, dass Sie eine andere Art der Lieferung als die von uns angebotene, günstigste Standardlieferung gewählt haben), unverzüglich und spätestens binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über Ihren Widerruf dieses Vertrags bei uns eingegangen ist.
Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das Sie bei der ursprünglichen Transaktion eingesetzt haben, es sei denn, mit Ihnen wurde ausdrücklich etwas anderes vereinbart; in keinem Fall werden Ihnen wegen dieser Rückzahlung Entgelte berechnet.
Wir können die Rückzahlung verweigern, bis wir die Waren wieder zurückerhalten haben oder bis Sie den Nachweis erbracht haben, dass Sie die Waren zurückgesandt haben, je nachdem, welches der frühere Zeitpunkt ist.

8 Freiwilliges Rückgaberecht
8.1. Über die gesetzliche Frist von 14 Tagen hinaus gewährt Shaper Tools dem Kunden ein freiwilliges vertragliches Rückgaberecht von insgesamt 30 Tagen ab dem Tag, an dem der Kunde oder ein vom Kunden benannter Dritter die Waren in Besitz genommen hat. Mit diesem Rückgaberecht kann der Kunde sich auch nach Ablauf der gesetzlichen Widerrufsfrist von 14 Tagen vom Vertrag lösen, indem er die Waren innerhalb von 30 Tagen nach Inbesitznahme zurücksendet an

Die rechtzeitige Absendung genügt zur Fristwahrung. Voraussetzung für die Ausübung des freiwilligen Rückgaberechts ist, dass die Waren vollständig und ohne durch den Kunden verursachte Beschädigung in der Originalverpackung zurückgesandt werden.
8.2. Für einen etwaigen Wertverlust der Waren muss der Kunde aufkommen, wenn dieser Wertverlust auf einen zur Prüfung der Beschaffenheit, Eigenschaften und Funktionsweise der Waren nicht notwendigen Umgang mit den Waren zurückzuführen ist.
8.3. Die Kosten der Rücksendung der Waren trägt Shaper Tools. Für die Rücksendung kann der Kunde einen Retourenaufkleber anfordern. Für die Rückzahlung nach Ausübung des Rückgaberechts verwendet Shaper Tools dasselbe Zahlungsmittel, das der Kunde bei der ursprünglichen Transaktion verwendet hat, es sei denn, mit dem Kunden wurde ausdrücklich etwas anderes vereinbart. Dem Kunden werden wegen dieser Rückzahlung keine Entgelte berechnet.
8.4. Bis zum Ablauf der Frist für das gesetzliche Widerrufsrecht gelten ausschließlich die oben aufgeführten Bedingungen der gesetzlichen Widerrufsbelehrung. Das gesetzliche Widerrufsrecht sowie die gesetzlichen Gewährleistungsrechte des Kunden werden von dem zusätzlich eingeräumten vertraglichen Rückgaberecht nicht berührt und bleiben unabhängig davon bestehen.
9 Gewährleistung
9.1 Bei Mängeln der gelieferten Ware stehen dem Kunden vorbehaltlich der nachstehenden Ziffern die gesetzlichen Gewährleistungsrechte zu. Garantien im Rechtssinne setzen eine ausdrückliche Vereinbarung voraus. Schadensersatz wegen eines Mangels kann der Kunde nur nach Maßgabe der Ziffer 10 verlangen.
9.2 Im kaufmännischen Verkehr mit Unternehmern gilt § 377 HGB. Shaper Tools ist dann zudem berechtigt, nach seiner – innerhalb angemessener Frist zu treffenden – Wahl die Ware nachzubessern oder neue Ware zu liefern. Dies gilt nicht, wenn der Kunde nachweist, dass ihm eine Nachbesserung ausnahmsweise unzumutbar ist.
9.3 Wenn der Kunde ohne Zustimmung von Shaper Tools die Ware ändert oder durch Dritte ändern lässt und soweit hierdurch die Mängelbeseitigung unmöglich oder unzumutbar erschwert wird, hat der Kunde die Mehrkosten zu tragen, die durch die Änderung entstehen.
9.4 Ist der Kunde Unternehmer, beträgt die Frist für die Geltendmachung von Gewährleistungsrechten ein Jahr ab Lieferung, es sei denn, Shaper Tools hat den Mangel arglistig verschwiegen oder es liegt ein Fall des Lieferantenregresses gemäß § 478 BGB vor.
10 Haftung
10.1 Im Falle einfacher Fahrlässigkeit haftet Shaper Tools nur für die Verletzung einer wesentlichen Vertragspflicht. Eine wesentliche Vertragspflicht in diesem Sinne ist eine Pflicht, deren Erfüllung das Erreichen des mit dem Abschluss des Vertrages verfolgten Zwecks erst ermöglicht und auf deren Erfüllung der Kunde daher regelmäßig vertrauen darf.
10.2 Im Falle einfacher Fahrlässigkeit ist die Haftung von Shaper Tools auf bei Vertragsschluss vorhersehbare, vertragstypische Schäden begrenzt.
10.3 Vorstehende Haftungsausschlüsse und -beschränkungen gelten nicht für die Haftung im Falle der Verletzung des Lebens, des Körpers oder der Gesundheit, des arglistigen Verschweigens eines Mangels, der Übernahme einer Garantie, sowie für Ansprüche nach dem Produkthaftungsgesetz.
10.4 Soweit die Haftung von Shaper Tools ausgeschlossen oder beschränkt ist, gilt dies auch für die persönliche Haftung der Angestellten, Arbeitnehmer, Mitarbeiter, Vertreter und Erfüllungsgehilfen von Shaper Tools.
11 Urheber und Markenrecht
Der gesamte Inhalt der Website, insbesondere Texte, Grafiken, Fotos, Illustrationen und Software, ist Eigentum von Shaper Tools bzw. Shaper Inc. Diese Inhalte sind durch Urheber- und andere gewerbliche Schutzrechte geschützt. Eine Vervielfältigung, Bearbeitung, Einspeicherung oder sonstige Verarbeitung ist nicht gestattet. Alle auf der Website verwendeten Marken sind - soweit nichts anderes angegeben – Eigentum von Shaper Tools bzw. Shaper Inc. Eine Verwendung oder Nutzung der Marken gleich in welcher Form ist ohne Zustimmung durch Shaper Tools untersagt.
12 Datenschutz
Der Schutz der personenbezogenen Daten des Kunden, die diese der Shaper Tools im Rahmen der Geschäftsbeziehung im Webshop mitteilen, ist der Shaper Tools sehr wichtig. Die Shaper Tools wird die Daten nur im Einklang mit den Datenschutzbestimmungen verarbeiten.
13 Transportschäden
Werden Waren mit offensichtlichen Transportschäden angeliefert, wäre eine sofortige Reklamation bei dem Zusteller sowie Kontaktaufnahme mit Shaper Tools sehr hilfreich. Dadurch wird Shaper Tools unterstützt, eigene Ansprüche gegenüber dem Frachtführer bzw. der Transportversicherung geltend machen zu können. Ist der Kunde Verbraucher, hat das Unterlassen der Anzeige bei Shaper Tools keine rechtlichen Konsequenzen für den Kunden. Ist der Kunde Unternehmer, bleibt es bei der Regelung des § 377 HGB.
14 Online-Streitbeilegung
Die Europäische Kommission stellt unter http://ec.europa.eu/consumers/odr/ eine Plattform zur Online-Streitbeilegung (OS) bereit. Verbraucher können diese Plattform für die Beilegung ihrer Streitigkeiten nutzen. Wir sind jedoch weder bereit noch verpflichtet, an einem Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle teilzunehmen.
15 Sonstiges
15.1 Der Vertrag unterliegt deutschem Recht unter Ausschluss des UN-Kaufrechts (CISG), es sei denn länderspezifische gesetzliche Regelungen sind für den Kunden günstiger.
15.2 Ist der Kunde Unternehmer oder eine juristische Person des öffentlichen Rechts, ist der Gerichtsstand für alle etwaigen Streitigkeiten aus diesem Vertrag der Sitz von Shaper Tools; Shaper Tools ist jedoch berechtigt, den Kunden auch an seinem Geschäftssitz zu verklagen. Das gleiche gilt, sofern der Kunde keinen allgemeinen Gerichtsstand im Inland hat oder nach Vertragsschluss seinen Wohnsitz oder gewöhnlichen Aufenthaltsort ins Ausland verlegt hat oder sein Wohnsitz oder gewöhnlicher Aufenthaltsort im Zeitpunkt der Klageerhebung nicht bekannt ist.

Conditions générales de vente de la société Shaper Tools GmbH
1 Domaine d'application
1.1 Les présentes conditions générales de ventes ("CGV") règlementent la vente des marchandises de la société Shaper Tools GmbH, Dieselstrasse 26, 70771 Leinfelden-Echterdingen, Allemagne ("Shaper Tools") via la boutique en ligne du site Internet https://www.shapertools.com aux consommateurs et entreprises ("clients“). Shaper Tools ne reconnaît pas les dispositions contraires ou divergentes des clients aux présentes CGV, sauf si Shaper Tools a expressément accepté leur validité par écrit. Shaper Tools conclut exclusivement des contrats en allemand et en anglais.
1.2 Est considéré comme consommateur au sens des CGV ("consommateur"), toute personne physique qui ne procède pas à l'achat des marchandises dans le cadre de son activité professionnelle commerciale ou indépendante (art. 13 BGB/Code civil allemand). Est considérée comme entreprise au sens des CGV ("entreprise"), toute personne physique ou morale, ou société de personne dotée de la capacité juridique qui, lors de l'achat des marchandises agit dans l'exercice de son activité professionnelle commerciale ou indépendante (art. 14 BGB).
2 Déroulement de la commande, conclusion du contrat
2.1 Le partenaire contractuel du client est Shaper Tools. Les pages Internet de la boutique en ligne de Shaper Tools ne sont qu'un prospectus de vente ("page de catalogue en ligne"). La présentation des produits dans la boutique en ligne n'est qu'une incitation à soumettre une offre (commande). Le client soumet une offre ferme en commandant la marchandise dans la boutique en ligne lorsqu'il clique sur le bouton "Acheter maintenant" ("offre").
2.2 Avant d'envoyer la commande en cliquant sur le bouton "Acheter maintenant", le client peut vérifier tous les contenus du formulaire de commande pendant le processus de commande et modifier, supprimer ou annuler l'ensemble du processus de commande en cliquant sur le bouton correspondant (par ex. "Traiter" ou "Modifier").
2.3 Shaper Tools confirme la réception de la commande par courriel. Ce courriel contient également les CGV ainsi que des informations relatives au droit de révocation. Toutefois, le contrat de vente n'est pas encore conclu.
2.4 Le contrat de vente n'est conclu que lorsque Shaper Tools accepte explicitement l'offre ("acceptation"), par exemple par courriel, mais au plus tard au moment de l'expédition de la marchandise. Le client est informé de l'expédition de la marchandise par courriel séparé.
2.5 Shaper Tools n'accepte pas les commandes des clients âgés de moins de 18 ans. Si le client a moins de 18 ans, il ne peut commander dans la boutique en ligne qu'avec ses parents ou un tuteur légal.
3 Prix et modalités de paiement
3.1 Les prix de Shaper Tools s'entendent départ entrepôt, frais d'emballage compris, plus la TVA légale et les frais d'expédition applicables au moment de la commande.
3.2 Les frais d'expédition sont indiqués dans le cadre du processus de commande.
3.3 Les moyens de paiement acceptés sont les cartes de crédit, PayPal, Sofort (transfert direct), paiement anticipé et sont indiqués dans le cadre du processus de commande.
3.4 La société Shaper Tools se réserve le droit de ne traiter la commande que pour les modes de paiement que nous proposons en cas d'examen de solvabilité négatif. Le client sera immédiatement informé de cette décision.
4 Expédition et conditions de livraison
4.1 La livraison n'est possible qu'à des adresses situées en Autriche, Belgique, Bulgarie, Croatie, Chypre, République tchèque, Danemark, Estonie, Finlande, France, Grèce, Allemagne, Hongrie, Irlande, Italie, Lettonie, Lituanie, Luxembourg, Malte, Pays-Bas, Norvège, Pologne, Portugal, Roumanie, Slovaquie, Slovénie, Espagne, Suède, Suisse et Grande-Bretagne ainsi qu'en Irlande. Les éventuels frais d'expédition à la charge du client sont indiqués dans le formulaire de commande. Nous livrons DAP (Delivered at place) en Norvège en Suisse et au Royaume-uni. Les droits de douane et la taxe sur la vente à l'importation sont payés par le client.
4.2 La livraison sera effectuée dans le délai indiqué dans le processus de commande mais au plus tard dans les 90 jours suivant la réception de la confirmation de la commande.
4.3 Si la livraison est temporairement retardée en raison d'un cas de force majeure ou d'autres événements imprévisibles au moment de la conclusion du contrat (perturbations opérationnelles de toute sorte, même si celles-ci surviennent chez des tiers mandatés par Shaper Tools ou leurs sous-traitants ; pénurie de matériaux, etc.), le délai de livraison est prolongé en conséquence. Si ce type d'événements entraîne un retard de livraison de plus de quatre (4) mois, le client est en droit de résilier le contrat. Les autres droits de résiliation du client restent inchangés.
5 Réserve de propriété
5.1 Shaper Tools reste propriétaire de la marchandise livrée jusqu'au paiement intégral. Si le client est un entrepreneur, Shaper Tools reste propriétaire de la chose achetée jusqu'à règlement intégral de toutes les créances à l'encontre du client.
5.2 Les dispositions suivantes s'appliquent à la revente des marchandises par les entrepreneurs : Le client est autorisé à revendre les marchandises dans le cadre de ses activités commerciales habituelles. Toutefois, il cède par la présente à Shaper Tools toutes les créances à l'encontre de ses clients ou de tiers découlant de la revente ou en rapport avec celle-ci, à concurrence du montant final total (TVA comprise) des créances de Shaper Tools. Il est tenu d'informer sans délai les clients concernés et les tiers de la cession. Le client reste autorisé à recouvrer les créances cédées même après la cession. Le droit de Shaper Tools de recouvrer lui-même ces créances reste inchangé. Shaper Tools s'engage à ne pas exercer ce droit tant que le client remplit ses obligations de paiement à partir des recettes qu'il a perçues, qu'aucun retard de paiement ne survient et, en particulier, qu'aucune insolvabilité du client ne survient et qu'il ne cesse pas ses paiements. Dans ce cas, le client s'engage à informer Shaper Tools des créances cédées et des débiteurs concernés, à obtenir tous les détails nécessaires au recouvrement et à remettre les documents pertinents.
5.3 Shaper Tools s'engage à libérer les garanties auxquelles il a droit à la demande du client dans la mesure où leur valeur réalisable dépasse de plus de 10 % les créances à garantir. Shaper Tools se réserve le droit de choisir les garanties à libérer.
6 Résiliation
6.1 Si le client est un entrepreneur, Shaper Tools est en droit de résilier le contrat dans la mesure où Shaper Tools n'est pas lui-même approvisionné malgré l'existence d'un contrat de vente relatif à l'objet de la prestation. Shaper Tools informera sans délai le client du défaut d'approvisionnement et, en cas de résiliation, remboursera immédiatement toute contrepartie déjà reçue.
6.2 Les autres droits de résiliation, notamment légaux, restent inchangés.
7 Droit de révocation du consommateur
7.1 Si le client est un consommateur, il dispose d'un droit de révocation selon les conditions suivantes :

Pour ce faire, vous pouvez utiliser le modèle de formulaire de révocation ci-joint, mais ce n’est pas obligatoire.
Pour respecter le délai de révocation, il suffit d'envoyer la notification de l'exercice du droit de révocation avant l’expiration du délai de révocation.
Conséquences de la révocation
Si vous révoquez le présent contrat, nous vous rembourserons tous les paiements reçus de votre part, y compris les frais de livraison (à l’exception des frais supplémentaires résultant de votre choix d’un type de livraison autre que la livraison standard moins chère que nous vous proposons), immédiatement et au plus tard dans les trente jours suivants la date à laquelle nous avons reçu la notification de votre révocation du présent contrat.
Pour ce remboursement, nous utiliserons le même moyen de paiement que celui que vous avez utilisé pour la transaction initiale, sauf accord contraire exprès avec vous ; en aucun cas, ce remboursement ne vous sera facturé.
Nous pouvons refuser le remboursement tant que nous n'avons pas reçu les marchandises ou tant que vous n'avez pas fourni la preuve du renvoi des marchandises, en fonction de ce qui se produit en premier.
Vous devez retourner ou remettre à Shaper Tools GmbH, Webshop, c/o Gebrüder Schuon Logistik GmbH, Metnitzerstrasse 50, 72221 Haiterbach, Allemagne les marchandises sans délai et, en tout cas, au plus tard trente jours à compter de la date à laquelle vous nous informez de la révocation du présent contrat. Le délai est respecté si vous renvoyez les marchandises avant l'expiration du délai de trente jours.
Nous prenons en charge les frais de retour des marchandises.

8 Droit de retour volontaire
8.1 Au-delà du délai légal de 14 jours, Shaper Tools accorde au client un droit de retour contractuel volontaire de 30 jours au total à compter du jour où le client ou un tiers désigné par le client a pris possession des marchandises. En vertu de ce droit de retour, le client peut résilier le contrat même après écoulement du délai de révocation légal de 14 jours en renvoyant les marchandises dans les 30 jours après en avoir pris possession à

Le délai est considéré comme respecté dès lors que le renvoi des marchandises a été effectué à temps. Condition préalable à l'exercice du droit de retour volontaire : l'intégralité des marchandises exemptes de dommages causés par le client est renvoyée dans l'emballage d'origine.
8.2 Le client ne sera responsable d'une éventuelle perte de valeur des marchandises que si cette perte de valeur est due à une manipulation des marchandises qui n'est pas nécessaire pour vérifier leur qualité, leurs propriétés et leur fonctionnement.
8.3 Shaper Tools prend en charge les frais de retour des marchandises. Pour le retour, le client peut demander un autocollant de retour. Pour le remboursement résultant de l'exercice du droit de retour, Shaper Tools utilisera le même moyen de paiement que celui utilisé par le client lors de la transaction initiale, sauf disposition contraire convenue avec le client. Le client ne devra supporter aucun frais pour ce remboursement.
8.4 Jusqu'à expiration du délai de révocation légal s'appliquent exclusivement les dispositions susmentionnées de l'information de révocation légale. Le droit de révocation légal ainsi que les droits de garantie légaux du client ne sont pas affectés par l'octroi d'un droit de retour contractuel volontaire supplémentaire et restent valables indépendamment de celui-ci.
9 Garantie
9.1 En cas de défaut des marchandises livrées, le client a droit aux droits de garantie légaux sous réserve des points suivants. Les garanties au sens juridique du terme requièrent l'existence d'un accord exprès. Le client ne peut réclamer de dommages-intérêts pour cause de défaut qu'aux conditions du point 10.
9.2 Dans les transactions commerciales avec les entrepreneurs, l'article 377 du HGB (Code de commerce allemand) s'applique. Par ailleurs, Shaper Tools est en droit d'opter - dans un délai raisonnable - pour la rectification des marchandises ou la livraison de marchandises neuves. Cette disposition ne s'applique pas si le client prouve qu'une rectification est exceptionnellement inacceptable pour lui.
9.3 Si le client modifie la marchandise ou la fait modifier par des tiers sans l'accord de Shaper Tools et dans la mesure où cela rend impossible ou complique excessivement l'élimination du défaut, le client doit supporter les frais supplémentaires engendrés par la modification.
9.4 Si le client est un entrepreneur, le délai pour faire valoir les droits de garantie est d'un an à compter de la livraison, sauf si Shaper Tools a frauduleusement dissimulé le défaut ou s'il existe un cas de recours du fournisseur conformément à l'article 478 du BGB.
10 Responsabilité
10.1 En cas de simple négligence, Shaper Tools ne peut être tenu responsable que de la violation d'une obligation contractuelle essentielle. Dans ce sens, une obligation contractuelle essentielle est une obligation dont l'exécution permet d'atteindre l'objectif poursuivi avec la conclusion du contrat et sur laquelle le client peut donc normalement compter.
10.2 En cas de négligence simple, la responsabilité de Shaper Tools est limitée aux dommages prévisibles au moment de la conclusion du contrat et typiques pour le contrat.
10.3 Les exclusions et limitations de responsabilité ci-dessus ne s'appliquent pas à la responsabilité en cas d'atteinte à la vie, au corps ou à la santé, de dissimulation frauduleuse d'un défaut, de prise en charge d'une garantie ou de réclamations au titre de la loi sur la responsabilité du fait des produits.
10.4 Dans la mesure où la responsabilité de Shaper Tools est exclue ou limitée, cela s'applique également à la responsabilité personnelle des employés, salariés, collaborateurs, représentants et agents d'exécution de Shaper Tools.
11 Droit d'auteur et droit des marques de commerce
La totalité de ce site Internet appartient à Shaper Tools, voire Shaper Inc., notamment les textes, graphiques, photos, illustrations et logiciels. Ces contenus sont protégés par des droits de propriété intellectuelle ou industrielle. Toute reproduction, édition, sauvegarde ou autre traitement est interdit. Sauf mention contraire, toutes les marques de commerce utilisées dans ce site Internet sont la propriété de Shaper Tools, voire Shaper Inc. Toute exploitation ou utilisation de ces marques, sous quelque forme que ce soit, est interdite sans autorisation de Shaper Tools.
12 Protection des données
Shaper Tools attache une grande importance à la protection des données à caractère personnel que le client communique à Shaper Tools dans le cadre de la relation commerciale dans la boutique en ligne. Shaper Tools ne traitera ces données que conformément à la règlementation sur la protection des données.
13 Avaries de transport
Si des marchandises sont livrées avec des dommages dus de toute évidence au transport, il est très utile de déposer immédiatement une plainte auprès du livreur et de contacterShaper Tools. Cela permet à Shaper Tools de faire valoir ses droits auprès du transporteur, voire de l'assurance transport. Si le client est un consommateur, le défaut de notification auprès de Shaper Tools n'a aucune conséquence juridique pour lui. Si le client est un consommateur, la règlementation de l'article 377 HGB reste applicable.
14 Règlement en ligne des litiges
La Commission européenne a mis en place une plateforme de règlement en ligne des litiges (RLL) sous http://ec.europa.eu/consumers/odr/. Les consommateurs peuvent utiliser cette plateforme pour régler leurs litiges. Cependant, nous ne sommes ni disposés ni obligés de participer à une procédure de règlement des litiges devant un conseil d'arbitrage de consommateurs.
15 Divers
15.1 Le présent contrat est soumis au droit de la République fédérale d'Allemagne, à l'exclusion de la Convention des Nations Unies sur les contrats de vente internationale de marchandises (CISG), à moins que les dispositions légales spécifiques au pays ne soient plus favorables au client.
15.2 Si le client est un entrepreneur ou une personne morale de droit public, la juridiction pour tous les litiges pouvant éventuellement résulter du présent contrat est le siège social de Shaper Tools ; Toutefois, Shaper Tools est également en droit de poursuivre le client à son siège social. Il en va de même si le client n'a pas de juridiction compétente générale en Allemagne, a déplacé à l'étranger son domicile ou lieu de séjour habituel après conclusion du contrat ou si son domicile ou lieu de séjour habituel n'est pas connu au moment du dépôt de la plainte.
15.3 Si le client est un entrepreneur, le lieu d'exécution de la prestation est Shaper Tools GmbH, Dieselstrasse 26, 70771 Leinfelden-Echterdingen, Allemagne
